Please read this Agreement before registering as a member or placing an order through B21. By registering, placing an order, using any member benefit, accepting any payment term, or checking the acceptance box, you agree to this Agreement.
B21 may classify customers into different membership tiers based on order history, purchase volume, payment performance, account status, and other platform criteria.
The current tiers include VIP Member and Platinum Member. B21 may introduce other tiers or preferred customer status from time to time.
Unless B21 confirms otherwise in writing, a newly approved customer will be treated as a VIP Member during the first three months after account approval or first order placement.
VIP Members generally apply the following payment schedule:
(1) 50% Order Confirmation Deposit — due when the order is placed and before B21 begins sourcing, production, procurement, packaging, booking, or any other fulfillment work. The order will be formed only after this deposit has been received and cleared by B21;
(2) 50% Final Balance Before ETD — due after the vessel schedule / ETD is confirmed and before the scheduled ETD. B21 is not required to release the goods, arrange export handover, proceed with ocean freight shipment, or continue any further fulfillment step until the full balance has been received and cleared.
If the customer has not been upgraded to Platinum Member, VIP Member payment terms will continue to apply until Platinum Member status becomes effective or B21 confirms other payment terms in writing.
B21 will review customer membership status based on order records and payment records for each calendar quarter or other assessment period confirmed by B21.
A VIP Member will be upgraded to Platinum Member if, during one calendar quarter:
(1) the customer’s total order amount placed through and confirmed by B21 reaches or exceeds USD 1,000,000;
(2) the customer has no overdue payment during that quarter; and
(3) the customer’s account remains active and in good standing.
Platinum Member status becomes effective when B21’s system completes the upgrade or when B21 confirms the upgrade to the customer.
After the customer is upgraded to Platinum Member, eligible new Ocean Freight Orders placed after the upgrade may apply the following payment schedule:
(1) 30% Order Confirmation Payment;
(2) 40% Factory Release Payment;
(3) 30% Destination Port Payment.
Platinum Member payment terms apply only to new eligible orders placed after the upgrade becomes effective. They do not automatically apply to orders already placed, confirmed, invoiced, or in fulfillment unless B21 agrees in writing.
B21 may issue coupons, discounts, credits, or other promotional benefits to eligible members based on membership tier, purchase history, payment performance, or platform campaigns.
Unless B21 states otherwise in writing, coupons and benefits:
(1) have no cash value;
(2) cannot be exchanged for cash;
(3) cannot be transferred or resold;
(4) cannot be applied retroactively to past orders;
(5) cannot be combined with other discounts unless permitted by B21;
(6) expire after the stated validity period.
If the customer has overdue payment, refuses delivery, abandons cargo, causes fulfillment suspension, abuses coupons or platform benefits, or materially breaches any order terms or platform policies, B21 may suspend, adjust, downgrade, or cancel the customer’s membership benefits or payment terms.
Such adjustment will not retroactively change payment obligations already confirmed for existing orders unless required by law or agreed by the parties in writing.
B21 may apply different or stricter payment terms to special orders, customized products, high-risk products, large-volume orders, or orders involving higher payment, fulfillment, operational, or credit risk.
This Agreement should be read together with the Staged Payment and Ocean Freight Fulfillment Agreement, the B21 Purchase Agreement, order confirmation, quotation, invoice, checkout acknowledgment, and other applicable order terms.
If there is any conflict, the more specific written order document or special agreement will apply, unless prohibited by law.
By registering as a member, placing an order, using any member benefit, accepting any payment term, checking the acceptance box, or otherwise confirming electronically, the customer accepts this Agreement.
B21 may retain membership records, order records, payment records, coupon usage records, electronic acceptance records, IP addresses, account information, and agreement version records as evidence.
This Agreement and any dispute arising out of or relating to this Agreement, membership tier, payment terms, coupons, platform benefits, or account privileges shall be governed by the laws of the State of New York.
To the extent permitted by law, the state and federal courts located in New York County, New York shall have exclusive jurisdiction. The customer agrees to submit to the personal jurisdiction of such courts.
